Glazers will be forced to pay out huge fee to Sir Jim Ratcliffe if they change mind on Man Utd takeover

IT was confirmed on Christmas Eve that Sir Jim Ratcliffe’s deal to buy 25 per cent of the club had gone through. And pending a fit and proper persons test, that will soon be confirmed – with Ratcliffe soon to become the most important man at the club when it comes to sporting matters.

The deal will take an estimated 8 weeks to be fully confirmed.
But, Richard Jolly in the Independent has revealed that there is still a way that the deal could be cancelled on the Glazers side.
He revealed that there is a £51.6million clause in the sale of the club which means the Glazers could terminate the process.
Not only that, but the fee would have to be paid within three business days.

In another clause of the contract between the various parties, Ratcliffe has first option to buy if the Glazers, whose stake will be reduced to 49 per cent of the club, are selling more of their shares within a year.
Interestingly, if the Glazers agree a full sale of the club to someone else, Ratcliffe will be forced to sell his shares at £25.84 each – the price he paid for his shares as part of his minority investment.
As part of the balancing act, the Glazers willl be unable to sack Erik ten Hag without Ratcliffe’s permission.
They would also be unable to sack sporting director John Murtough.

Ratcliffe will receive a total of four seats on the board at the club.
Two of these on the sporting side will be delegated to Sir Dave Brailsford and  former Juventus CEO Jean-Claude Blanc.
On the PLC side, the seats will go to Ineos chief financial officer John Reece and Rob Nevin, the chairman of Ineos Sport.
Sir Jim will also have the right to decide if dividends are paid to shareholders over the next three years.
Sir Jim’s stake in United is being purchased through Trawler’s LTD – a reference to Eric Cantona’s infamous speech when his prison sentence for kicking a Crystal Palace fan was overturned. More

Sir Jim Ratcliffe’s Man Utd stake ALREADY set to grow from 25 per cent as terms of deal with Glazers are revealed

SIR JIM RATCLIFFE’S stake in Manchester United is already allegedly set to grow. The 71-year-old British billionaire completed his £1.3bn 25 per cent takeover of the club on Christmas Eve and it is now being signed off.

He is prepared to pump £237m into the club and is set to have two of his most trusted lieutenants keeping a close eye on goings on at the club next month.
Ineos’ director of sport Dave Brailsford and CEO Jean-Claude Blanc will head to Carrington tasked with assessing the football operation.
Brailsford has already made his presence felt as he endured a rollercoaster of emotions at Old Trafford during United’s thrilling 3-2 comeback win over Aston Villa last night.
Ratcliffe will be in charge of football operations after purchasing a stake in the club from the Glazer family – who fans are desperate to see the back of.

However, his stake is set to grow from the original 25 per cent after terms of deal with Glazers were revealed.
That is according to journalist Ben Jacobs, who stated on social media: “Sir Jim Ratcliffe’s final %, if the completion process goes to plan, will be just over 29%.
“That’s 25% from the Class B shares (agreed) and Class A tender (ongoing).
“Then just over 4% from his injection of $300m into the club.”

Jacobs also added: “Been the plan for months to take extra shares in return for Ratcliffe’s initial investment.”
We reported this week how Ratcliffe could cut as many as 300 jobs at United.
But while that could cause unrest off the pitch, Erik ten Hag’s side brought some much-needed joy on it yesterday.
The Red Devils came from 2-0 down at half-time to beat Aston Villa 3-2 with a brilliant second half performance.
Ten Hag’s men fell behind to a never-seen-before free-kick tactic that left both the goalkeeper and defence bamboozled.
Things got worse when Leander Dendoncker doubled the visitors’ lead.
But a stirring second half performance saw them bounce back to earn a crucial victory.
Alejandro Garnacho grabbed a double while Rasmus Hojlund’s first Premier League goal sealed the points late on. More

Adventure nut Sir Jim Ratcliffe has trekked to North and South poles, climbed Matterhorn and did Ironman triathlon at 64

SIR Jim Ratcliffe’s sense of adventure knows no ends. The billionaire businessman, 71, is a 25 per cent owner of Manchester United, and has delved into the world of cycling, sailing and more.

But, although rebuilding a crumbling Old Trafford might seem like a challenge, that pales into what Ratcliffe has put his 6ft 4in frame through
A lover of the outdoors, as well as a pub owner, he has trekked BOTH the North and South poles.
A keen long-distance runner, the petrochemicals tycoon has also competed the gruelling Marathon Des Sables across the Sahara Desert.
Add to that climbing the Matterhorn, and completing the Ironman triathlon aged 64 – the sense you get of Ratcliffe is a man who sees no barriers.

    Risk taker
As man who has conquered the business world, Ratcliffe might have taken a few risks.
When it has come to his own personal adventures, he has admitted caution in the past.
“I don’t take risks unnecessarily,” he once said.
“To give you an example, I won’t and would never jump out of an aeroplane, because you either live or die depending upon how well someone’s packed your parachute.
    Most read in Football
‘I’ve done a bungee jump because I don’t think there’s too much risk attached.
“I’m quite careful, but you’re only here once so you get more out of life if you challenge yourself a bit more.”
That philosophy hasn’t stopped him from taking on life’s hardest tasks.
    Forget sea and sand
Although his £30billion wealth means he belongs in the jet-set, and he does reside in a mansion in Monaco, it’s colder expeditions that get Ratcliffe excited.
In 2009, he and his sons Sam and George climbed the North Pole – embarking on a treacherous journey through broken and shifting ice,
“You pull a big heavy sledge and it’s very cold and uncomfortable,” he told The Times.
“The ice cap’s always moving with the currents and the wind and parts of it break off. Then you encounter mountains of ice and you’ve got to drag your sledge over them.”
Two years later, they returned to do the South Pole The date, December 14, 1911, they trekked it was significant.
It was the 100-year anniversary of Norwegian explorer Roald Amundsen’s historic expedition, who was the first to plant a flag there.
“It was one of the more miserable experiences of my life,” Sir Jim said.

“There’s nothing uplifting about spending all day [on skis] pulling an 80-kilo sledge over ice waves.
“But there’s no feeling quite like getting to the South Pole after you’ve walked 200 kilometres.
“It’s the highs and lows of life, isn’t it? The highs are better if you’ve experienced a few lows beforehand. You can’t just have highs all the time.”
    Climbing the Matterhorn
The splendid Matterhorn mountain of the Alps stands at 14,692 ft above the sea level.
Accompanied by a guide, Sir Jim and his sons decided to climb it. They, like him, share the same sense of daring.
    He chooses his guides carefully.
He revealed: “Yeah, they grew up understanding risk and a bit of adventure and just getting out there and challenging yourself a bit really.
“If you go up the Matterhorn there’s obviously risk, but you’re going up with a guide who’s been climbing all his life.
“I always try to pick a guide who’s got a wife and children because they have the most to lose. What you don’t want is a 25-year-old gung-ho guide.”
However, there was a dicey moment when his youngest son George was almost lost on the Matterhorn.
“George was only 13 when we climbed the Matterhorn. Sam was 15. It was a nice moment, sitting at the top, having a sandwich,” he said.

“Then on the way down George slipped. The guide had to arrest him on the rope really quickly, but he survived. The most dangerous bit of the Matterhorn is after you leave the summit, because it’s seriously vertical and it’s ice and you’re on crampons.
“If you slip when you’re going up you just fall forward, but when you’re going down and you slip you don’t stop until you hit the ski resort a couple of miles below.”
The treacherous trip through the Northwest Passage is not one for the faint-hearted.
In the explorer vessel, Sherpa he dodged icebergs in isolation.
“For three weeks I didn’t see another ship or meet another human being, only polar bears,” he said.
    Endurance tester
When he’s not travelling around the globe, Ratcliffe is putting his body through the ringer.
Astonishingly, at the age of 64, he completed an Ironman triathlon.
He swam 2.4 miles, cycled 112 miles, then ran a full marathon in a very respectable 14 hours and 44 minutes.
While in 2013, he completed the Marathon Des Sables – an ultramarathon in South Morocco regarded as the toughest foot race on earth.

Competitors must trek across the Sahara Desert in scorching energy-zapping conditions, which is the length of SIX normal marathons.
To celebrate his 60th birthday in 2012, Ratcliffe took a group of 12 companions, including his sons and daughter on a 6,000 motorcycle trip around southern Africa over 100 days.
Though it wasn’t all plain sailing for Ratcliffe.
He broke three bones in his foot, and when a local hospital bandaged his injury too tightly he feared amputation.
There was only one thing to do. He took a chainsaw, cut off the cast, to allow the blood supply to repair his broken appendage.

Instead of the cast, he ordered a ski boot to be shipped to him so the bones could set.
“I think I’m the only person ever to have worn a ski boot in Namibia,” he joked.

Meanwhile, cycling mastermind Sir David Brailsford is key to the takeover and he will join Ratcliffe in implementing an overhaul of the club’s transfer department.
Ratcliffe’s investment is set to hand the Glazers £650million from the sale of their Class B shares, which have ten times the voting power of A shares that are publicly traded.
The other half of the money will supposedly go to various minority shareholders.

The Ineos chief and lifelong Red Devils supporter is stumping up the mega cash for a 25 per cent stake in the Old Trafford club.
Talks have rumbled on for months but now the Daily Mail claim it could finally get over the line and announced this week in a big festive boost.
However, it will likely take between six and eight weeks for approval to come through.
And to make matters worse, the report adds that immediate big-name transfers and major improvements to Old Trafford are off the cards.
    READ MORE ON FOOTBALL
SunSport exclusively revealed that Ratcliffe wants to oversee a huge clearout at United – both in the dressing room and the boardroom.
Richard Arnold is already on his way out as the hunt for a new CEO continues with Dave Brailsford, Jean-Claude Blanc and Dougie Freedman in line.
On the pitch, Antony and Anthony Martial as well as outcasts Jadon Sancho and Donny van de Beek could all be let go if deals can be agreed.
But due to Financial Fair Play restrictions, United cannot afford to stump up huge transfer fees to improve the squad in January – despite calls for improvements across the pitch after a stuttering season that has featured 12 defeats from 25 matches and an early Champions League exit.

And in a further blow for hopeful Manchester United fans, work will not begin on updating the stadium just yet.
Part of the £1.25bn investment includes £250million dedicated to the infrastructure with Old Trafford now crumbling, decaying and leaking.
But while sorting out these problems remains a top priority for Ratcliffe, it is understood those plans are being shelved for the time being.
United employed architects to draw up various ways of improving Old Trafford – including a full demolition and rebuilding job.
But the prices of materials have soared over the last year, pushing up the costs of any construction work.
And it means the £250m would not even be enough just to replace the Sir Bobby Charlton Stand.
Instead, the Mail report suggests Old Trafford could be given a “facelift”.
That may include some paintwork around the ground and improved executive suites which in turn will help to drive up much-needed corporate revenue.
